Terms of Service
These Terms of Service ("Terms") govern the relationship between The Web Maven ("we", "us", "our") — operated by Faith Akinola Boyejo — and any client or visitor ("you") who engages our services or uses this website. By engaging our services or submitting a project inquiry, you agree to these Terms.
Contents
1. Services
The Web Maven provides web design, web development, UX strategy, and related digital services including but not limited to:
- Authority websites, lead generation sites, ecommerce stores, and landing pages
- Brand identity and visual design
- Front-end development (HTML, CSS, JavaScript)
- Full-stack web applications
- AI/ML integration and automation
- Ongoing maintenance and support (where agreed)
Specific deliverables, timelines, and pricing are set out in a separate written agreement or proposal ("Project Agreement") for each engagement.
2. Engagement Process
Work begins only after:
- A written Project Agreement or proposal has been accepted by both parties
- The agreed deposit has been received
Submitting a contact form or exchanging messages does not constitute a binding agreement. A project is only confirmed upon receipt of the deposit.
3. Payment Terms
3.1 Standard Payment Structure
Unless otherwise agreed in writing:
- 50% deposit is due before work begins
- 50% final payment is due before delivery of final files or launch
For larger projects, a milestone-based payment schedule may be agreed.
3.2 Late Payment
Invoices are due within 7 days of issuance unless otherwise agreed. Late payments may incur a 2% monthly fee on the outstanding balance. We reserve the right to pause work until overdue amounts are settled.
3.3 Refunds
Deposits are non-refundable once work has commenced. If a project is cancelled by the client after work begins, payment is due for all work completed to date, calculated at our standard hourly rate or pro-rated against the project fee, whichever is greater.
4. Intellectual Property
4.1 Client-Owned Assets
Upon receipt of full payment, the client owns all custom design and code created specifically for their project, including HTML, CSS, JavaScript, and graphic assets unique to the deliverable.
4.2 Our Pre-Existing IP
We retain ownership of our pre-existing tools, frameworks, methodologies, reusable code libraries, and any general techniques or know-how developed in the course of providing services. You receive a non-exclusive licence to use these as part of your deliverable.
4.3 Third-Party Assets
Third-party assets (fonts, stock images, plugins, themes, frameworks) remain subject to their own licences. We will notify you of any third-party licences required for your project. Compliance with those licences is your responsibility after project handoff.
4.4 Portfolio Rights
We retain the right to display completed work in our portfolio and to reference the client engagement in case studies, unless the client expressly requests confidentiality in writing.
5. Client Obligations
To enable us to deliver on time, clients agree to:
- Provide all required content, assets, and access credentials promptly and as agreed
- Respond to review requests within 5 business days
- Ensure they have rights to all content, images, and materials they provide us
- Not provide content that is defamatory, illegal, or infringes third-party rights
Project timelines are estimates. Delays caused by the client's failure to meet obligations may extend timelines without penalty to us.
6. Revisions & Scope
Each project includes a defined number of revision rounds as specified in the Project Agreement. Changes beyond 2 revision rounds require a new quote. Additional revisions beyond scope will be quoted and billed separately at our current rate.
Material changes to scope after project commencement will require a written amendment to the Project Agreement and may affect timeline and cost.
7. Confidentiality
Both parties agree to keep confidential any sensitive business information shared during the engagement. This does not apply to information that is publicly available, independently developed, or must be disclosed by law.
8. Limitation of Liability
To the maximum extent permitted by applicable law, The Web Maven's total liability for any claim arising from a project shall not exceed the total amount paid by the client for that specific project.
We are not liable for:
- Lost profits, lost data, or loss of business opportunities
- Indirect, incidental, or consequential damages
- Damages arising from third-party services (hosting, payment processors, APIs)
- Loss caused by your failure to provide correct or timely materials
- Security breaches on third-party infrastructure
9. Warranties & Disclaimers
We warrant that services will be performed with reasonable skill and care in accordance with industry standards. We do not warrant that:
- Websites will achieve specific business results (traffic, conversions, rankings)
- Deliverables will be free from errors indefinitely after handoff
- Third-party services used will remain available or unchanged
All implied warranties are disclaimed to the maximum extent permitted by law.
10. Termination
Either party may terminate a project engagement with 14 days' written notice. Upon termination:
- All work completed to date must be paid for
- Any unpaid invoices become immediately due
- We will deliver all completed work files upon receipt of final payment
We reserve the right to terminate immediately and without notice if the client engages in illegal activities, provides fraudulent information, or breaches these Terms materially.
11. Acceptable Use
You agree not to use this website or engage our services to:
- Create or distribute illegal, harmful, or fraudulent content
- Infringe any intellectual property, privacy, or other rights
- Conduct phishing, spamming, or other deceptive practices
- Distribute malware or interfere with other users' access
- Violate any applicable laws or regulations
12. Dispute Resolution
In the event of a dispute, both parties agree to first attempt good-faith resolution through direct negotiation. If unresolved within 30 days, disputes shall be submitted to mediation in Lagos, Nigeria before any legal proceedings are initiated.
If mediation fails, disputes shall be resolved through the courts of Lagos State, Nigeria, with both parties submitting to the exclusive jurisdiction of those courts.
13. Governing Law
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. For clients in other jurisdictions, mandatory consumer protection laws of your jurisdiction may also apply.
14. Force Majeure
Neither party shall be liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, strikes, government actions, internet or telecommunications outages, or pandemics. The affected party shall notify the other as soon as practicable. If the force majeure event continues for more than 30 days, either party may terminate the affected Project Agreement without penalty, subject to payment for work completed to date.
15. Changes to These Terms
We may update these Terms from time to time. Updated Terms apply to new projects from the date of publication. Existing project agreements are not affected by Terms updates unless both parties agree in writing.
